Welcome to Abcm Business Technology (“Abcmtech”, “we”, “our”, “us”).
These Terms of Service govern your access and use of our websites, software solutions, digital platforms, products, and professional services (collectively, the “Services”).
By accessing or using any of our Services, you agree to be bound by these Terms.
If you do not agree with these Terms, please discontinue use of our Services immediately.
1. Definitions
Client / User / You — Any individual or organization accessing or using Abcmtech’s Services.
Services — All offerings provided by Abcmtech including software development, fintech solutions, cooperative systems, payment solutions, digital platforms, consultation, and business development.
Content — Any data, text, images, information, or materials submitted by clients or generated by Abcmtech.
2. Acceptance of Terms
By using our Services, you confirm that you:
Are at least 18 years old or have legal capacity to enter into this agreement.
Have provided accurate and truthful information during registration or onboarding.
Understand and agree that these Terms may be updated from time to time.
3. Scope of Services
Abcmtech provides a wide range of digital, fintech, and technology-driven solutions including but not limited to:
Digital cooperative & microfinance platforms
Fintech software development
Payment gateway integration (local & global)
Digital banking development
Outsourced cloud infrastructure, hosting & DevOps
Business automation tools
Branding & IT consulting
Custom software and mobile app development
API development & system integration
General business development services
Each service may be governed by an additional Service Agreement, SLA, or Project Contract.
4. Client Responsibilities
Clients agree to:
Provide all required materials, data, documents, approvals, and access needed for service execution.
Ensure that any content or materials submitted do not infringe on third-party rights.
Maintain confidentiality of login credentials, API keys, or platform access provided.
Use Abcmtech products only for lawful and authorized purposes.
Comply with financial, regulatory, and data protection laws relevant to their operations.
5. Payments, Fees & Billing
All services are billed based on the agreed project cost, subscription plan, or custom quotation.
Payments may be one-time, milestone-based, or recurring depending on service type.
Fees paid are non-refundable, except where explicitly stated in a service contract.
Late payments may attract suspension of service delivery or platform access.
Clients are responsible for taxes, bank charges, and payment processing fees.
6. Project Delivery & Timelines
Delivery timelines shared by Abcmtech are estimates and may vary based on project requirements, approvals, or unforeseen technical issues.
Delays caused by client inaction, lack of information, late feedback, or third-party dependencies do not constitute breach by Abcmtech.
Modifications or additional requests outside the agreed scope may attract extra fees.
7. Intellectual Property (IP)
7.1 Abcmtech IP
All software, platforms, source code, algorithms, templates, tools, documentation, designs, and related technology created by Abcmtech remain the exclusive property of Abcmtech unless explicitly transferred by written agreement.
7.2 Client IP
Client-owned data or materials provided to Abcmtech remain the client’s property.
7.3 Custom Builds
Where a custom project is commissioned, IP ownership will be defined in the project contract.
In most cases:
Clients own the brand and business data.
Abcmtech retains ownership of proprietary frameworks, backend engines, templates, and core systems used to deliver the solution.
8. Data Protection & Privacy
Abcmtech may collect, store, and process data to provide and improve services.
We are committed to secure handling of client information and comply with applicable data protection laws.
Clients must also ensure that data collected on platforms developed by Abcmtech complies with local and international regulations (e.g., NDPR, GDPR where applicable).

9. Third-Party Services & Integrations
Abcmtech may integrate third-party services such as:
Payment gateways (local & international)
Banks & digital wallets
SMS/Email gateways
Cloud hosting providers
Identity verification services
We are not responsible for downtime, failures, pricing changes, compliance issues, or operational losses caused by these third-party providers.
10. Service Availability & Support
Abcmtech aims for continuous uptime but does not guarantee 100% availability.
Scheduled maintenance or updates may cause temporary downtime.
Support and maintenance terms depend on the subscription or SLA plan selected by the client.
11. Prohibited Use
Clients may not use Abcmtech’s Services for:
Fraud, money laundering, terrorism financing, or illegal financial activities
Distribution of harmful software, malware, or phishing
Hosting or distributing prohibited content
Misrepresentation of identity or unauthorized access
Violation of banking, financial, or regulatory compliance rules
12. Limitation of Liability
To the fullest extent permitted by law, Abcmtech is not liable for:
Loss of revenue, profit, business, or data
Client misuse or misconfiguration of the platform
Third-party service interruptions or failures
Regulatory non-compliance arising from how a client operates their system
Damages resulting from unauthorized access to client accounts
Abcmtech’s total liability for any claim shall not exceed the amount paid by the client for the specific service within the last 12 months.
13. Indemnification
Clients agree to indemnify and hold Abcmtech harmless against all claims, liabilities, damages, or expenses arising from:
Misuse of our Services
Violation of these Terms
Breach of laws by the client
Infringement of intellectual property or misuse of data
14. Termination
Abcmtech may suspend or terminate services if the client:
Violates these Terms
Engages in illegal or unethical activities
Fails to pay for services
Abuses or misuses our platforms or systems
Threatens or abuses employees or contractors
Upon termination:
Access to platforms may be revoked
No refunds will be issued
Export of data may be provided upon request (if applicable)
15. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria or any jurisdiction mutually agreed for international clients.
16. Dispute Resolution
Any dispute shall first attempt to be resolved through negotiation or mediation.
If unresolved, it may proceed to binding arbitration in Nigeria or the client’s jurisdiction (as agreed in contract).
17. Changes to Terms
Abcmtech may update these Terms occasionally.
Continued use of our Services after updates signifies acceptance of the revised Terms.
